News Update: Bank of America's (NYSE:BAC) CEO Moynihan Promises to Put Managing Risk as Top Priority 3/11/2010-Bank of America's (NYSE:BAC) relatively recent appointed CEO Brian Moynihan was able to make a good impression during his first presentation Wednesday, but Breakingviews says talking the talk is one thing, it remains to be seen if he can walk the walk. Moynihan promised to put building relationships and managing risks as his highest priorities over further acquisitions and rapid growth, however, his predecessor Ken Lewis made similar comments when he was appointed following Hugh McColl, a serial acquirer, and then he bought out Merrill Lynch and turned Bank of America into a mega bank. Nonetheless, it must be noted that while Lewis triggered some major issues and caused a public outcry, he was able to advance the bank to being a major player in its core domestic markets, retail banking, commercial banking and wealth management. Furthermore, while Merrill was beaten down when it was acquired, its still a major player in the investment banking arena.

Tengion Shares Plunge 47.38% After Potential Merger Fails Shares of Tengion (TNGN) dropped 47.55% today after the company reported that discussions for a possible stock-for-stock merger with a publicly traded company have ceased. According the company, recent increases in the trading price and volume of its common stock have driven the potential acquirer to terminate the negotiations. TNGN further states that it can fund operations sufficiently into April 2011. But the company must secure either a sale transaction or financing through equity investment or partnership or it will be forced to wind down its operations to preserve the value of its assets. Shares are down $2.61 to $2.90.

Upgrades and Downgrades: March 30, 2011 JMP Securities has reportedly downgraded Rural/Metro (RURL) to Market Perform from Outperform. The firm cited the company's acquisition by Warburg Pincus as its reason. Shares closed at $17.04. JMP Securities also downgraded Cephalon (CEPH) to Market Perform from Outperform. The firm cited the acquisition proposal by Valeant (VRX), which the firm views as attractive and thinks shareholders will ultimately accept an offer at, or near, the $73 per share price. Shares are up 29.24% to $75.93 in pre-market trading. Meanwhile, Citigroup downgraded Gannett (GCI) to Hold from Buy. The firm cited the company's lack of near-term catalysts and potential risk to Q1 estimates. Price target is lowered to $17 from $17.75. On the flip side, Peet's Coffee & Tea (PEET) was upgraded by Janney Capital to Neutral from Sell. The firm believes that the company's brand could have value to an acquirer. Janney Capital mentions Kraft Foods (KFT) and Starbucks (SBUX) as potential acquirers for PEET and thinks the deal price could be in the $55 to $60 per share range. Price target is $42. BofA/Merrill reportedly upgraded Tibco (TIBX) to Buy from Underperform. The firm cited valuation and expectations for market share gains. Price target is $31.

Visa, MasterCard Block WikiLeaks... Again BY: EMOKE BEBIAK Is it possible? Did Visa and MasterCard lift their ban on processing donations to WikiLeaks? For a couple hours on Thursday, it seemed the answer was yes. Philadelphia's FOX affiliate WTXF reports... "WikiLeaks has reportedly started accepting credit card donations again. Payment processor DataCell says Visa and MasterCard were again processing payments to WikiLeaks..." But it was too good to be true. As San Francisco's KTVU reports, not long after the news broke, Visa put an end to processing donations. "Visa says it has once again shut down its donation channel to Wikileaks after briefly accepting payments." So what was going on? IDG News talks to DataCell, the payment gateway handling donations for WikiLeaks... "DataCell CEO Andreas Fink said his company had found a new payment acquirer, Valitor, willing to process payments to WikiLeaks, and accepted thousands of donations to the whistle-blowing website before running into problems around 3.30 am Icelandic time." The problem the company ran into was, well, Visa. The Atlantic Wire clarifies Visa didn't authorize the new gateway and soon shut down the operations. The company says in a statement... "An acquirer briefly accepted payments on a merchant site linked to WikiLeaks. As soon as this came to our attention, action was taken with the suspension of Visa payment acceptance to the site remaining in place." But a lawyer representing WikiLeaks tells Forbes Visa must have known about what its payment ...

The EV/EBITDA Ratio In order to address some of the shortcoming of the P/E Ratio - or at a minimum, try to provide additional information, another ratio that is very commonly used used is the EV/EBITDA ratio. Like the P/E ratio, this ratio uses one year of data and tries to establish a relationship between the value of the company and some measure of profitability. In order to adjust for the fact the earnings are influenced by interest cost, tax charges, depreciation and amortization - none of of which is directly linked to the operations of the company, this ratio compares this to the Enterprise Value of the company, which is the Market Capitalization (the market value of the equity (P x number of shares)) plus the net debt (debt - cash). This measure therefore compares a broader measure of the company's value - one which includes net debt which an acquirer would have to assume, and compares it to EBITDA - a measure of the operating earnings of the company, thereby neutralizing the effect of varying interest levels between companies and depreciation policies. The EBITDA measure is not perfect, but clearly one can argue that it 'cleans' the earnings to provide a number that is more reflective of the operating performance of the company. The drawback that it only looks at one year's worth of data remains.
